The Corporations Division of the Secretary of State is responsible for the initial creation and certain maintenance filings for all 300,000 domestic Missouri and out-of-state business entities doing business in Missouri.
These business entities include for-profit and nonprofit corporations, specialized business entities such as professional corporations, close corporations, agricultural cooperatives and mutual associations, and limited liability companies, limited partnerships and many others.
The Corporations Division provides the forms and resources necessary for businesses and entrepreneurs to form their entity and maintain good standing status. Please note that the staff of the Secretary of State's office cannot provide legal advice or assist with the completion of forms. It is recommended that all forms be prepared under the guidance of an attorney. The office receives a large volume of filings and other service requests each day which makes it impractical for staff to verify receipt; therefore, please do not call the office to verify receipt of your filing or service request unless you have not received your filed documents or fulfilled service request after seven or more business days.
See Missouri's corporate statutes for more information.
